Non-Disclosure Agreement (NDA)
Parties: You (“Client”) and Growth Accountants Inc. (“Provider”)
Purpose: Protect Confidential Information shared during business interactions
Confidential Information: Includes, but is not limited to, business operations, customer and product information, intellectual property, and financial data
Exclusions: Information publicly known, independently developed, or lawfully received from third parties.
Obligations:
Provider must not disclose Confidential Information
Use Confidential Information only for Permitted Purpose
Obligations continue indefinitely after the Agreement's termination
Authorized Disclosure: Provider may disclose Confidential Information to necessary personnel or third parties with Client's written consent or as required by law
Authorization Clause: Provider is authorized to access Canada Revenue Agency (CRA) information to deliver the services provided to the Client
Ownership: All Confidential Information remains the Client's property. Provider waives any rights to the Confidential Information.
Return of Information: Upon request or Agreement termination, Provider must return all Confidential Information to the Client.
Remedies for Breach: Injunction and other legal remedies applicable for unauthorized disclosure.
Governing Law: Governed by the laws of the province this is being signed in
Terms of Service

Client Responsibility: Clients must provide accurate and complete information promptly to ensure effective service delivery. Failure to do so may hinder Growth Accountants Inc.'s ability to perform its duties.
Termination: Either party can terminate the agreement with a two-week notice via email, detailing the reasons. Service charges will cease after the current billing cycle; charges for the current period are non-refundable.
Cancellation Grace Period: Clients have a 10-day grace period from the start date to cancel the agreement and receive a full refund.
Confidentiality: Growth Accountants Inc. will collect personal information as necessary, maintaining confidentiality. Disclosures are limited to legal requirements and permissions.
Intellectual Property: Any work products or documents produced by Growth Accountants Inc. during the engagement shall be the client's intellectual property. Upon termination or completion of services, this information will be sent to the client.
Governing Law: This agreement is subject to the laws of the province in which it is signed.
Indemnification: Clients agree to indemnify Growth Accountants Inc. against any claims related to misrepresentations or fraud by the client's management or employees.
Liability: Growth Accountants Inc. is not liable for any claims, damages, or losses arising from the services provided under this engagement. Clients agree not to make any claims against Growth Accountants Inc.
Billing Responsibility: Upon engagement termination or non-renewal, Growth Accountants Inc. will transfer billing responsibility for any accounting software subscriptions to the client. This transition will be effective immediately following the engagement's conclusion.
